Indecomm is looking for a senior-level attorney to perform a generalist role.
Key Responsibility Areas
Being the legal point of contact on assigned projects supporting sales and revenue generation agreements. Reviewing, drafting and negotiating complex IT Services and Outsourcing Agreements with Indecomm’s Customer’s per Indecomm’s guidelines including: Master Outsourcing Services Agreements, Professional Services Agreements, Statements of Work, SAAS agreements, software licensing and NDAs
Working with business, finance, IT, HR, sales and other business units within the company to obtain feedback, understand internal needs and requirements and incorporate the same into inbound or outbound agreements, as appropriate
Monitor laws impacting the outsourcing business and have a working knowledge of privacy regulations
Support M&A activity through diligence support and involvement in all stages of the transaction, from letter of intent stages through Closing; work with outside counsel to provide necessary company perspective and feedback on M&A transactions
Performing other contract and general corporate functions as required.
Handling pre-litigation disputes, working with outside counsel on managing litigation and handling HR matters with selective use of outside counsel. Advise the internal team on matters related to labor laws and DOL and employee litigation matters to minimize the risk exposure on a periodic basis.
Responsible to ensure legal, operational and secretarial compliance, including setting up tracking and monitoring mechanisms, across operating geographies. Ensure that there is compliance with the current process that is in place to have a central repository for all contracts and tracking of the validity and expiry of all contracts. Work closely and direct the efforts of the offshore legal team
Responsible to run quarterly Risk Management Committee (preventing, pre-emptively identifying risk exposures & putting in place process, control and governance )
Responsible for Customer, Vendor and other contracts management including compliance of legal, insurance and governance commitments.
Responsible for negotiating and maintaining right level of insurance coverages
JD or LLM from a top law school with 6-10 years of experience after graduating
Combination of law firm and in-house experience preferred
Experience with Contract and Employment laws in the US.
Knowledge of outsourcing and technology is a must
Position is in Charlotte, NC or New York/New Jersey. Relocation is not covered.
